These Terms govern your use of the Nexus website, app, and marketplace (together, the “Service”) operated by Nexus Freelancing LLC (“Nexus,” “we,” or “us”), a company organized in Wyoming, United States. By creating an account or using the Service you agree to these Terms and to the role-specific agreements: the Seller Terms (if you sell) and the Buyer Terms (if you buy or browse as a buyer). The Marketplace Rules, Verification Policy and Copyright & IP Policy form part of these Terms.
Nexus is a marketplace-access platform, not a payment processor, escrow agent, bank, or money transmitter.
There are only two money flows, and they are completely separate:
No commission. Nexus charges no commission, percentage fee, or order fee on marketplace transactions. The full price agreed between buyer and seller belongs to the seller. Our revenue is subscriptions — nothing else.
Order records created in the app (amount, status, disputes) exist for coordination, record-keeping, and dispute review. For historical reasons, very old orders may show a “platform fee” figure — that was a legacy internal reporting notation from an earlier version of the platform; it is not — and never was — a charge deducted from any payout. New orders carry no such figure.
The conduct expectations that apply to everyone on the marketplace are in the Marketplace Rules.
Every use of Nexus involves two distinct legal relationships, and keeping them separate matters:
What Nexus does for the marketplace relationship: we provide the venue (listings, discovery, messaging, order records), we enforce our own rules through account actions, and we mediate disputes using the in-app record. What Nexus does not do: guarantee any transaction, guarantee any payment, vouch for quality or delivery, hold anyone's money, or process refunds of buyer–seller payments (there is no Nexus-held payment to refund — see the Refund Policy).
Because settlement is direct: buyers should check a seller's ratings, reviews, verification status, and in-app history before paying; sellers are responsible for collecting payment and honoring their listings.
Buyers can post an order request (or respond to a listing or offer) describing what they need. To keep everyone on the same page, order requests on Nexus move through these stages, and it is important to know when a binding deal actually forms:
Cancelling after the Agreement stage can still carry consequences under the direct buyer↔seller contract (for example, liability for work already performed) — Nexus records the agreed terms so both sides have the same record if there is a dispute.
Buyer–seller disputes are opened in the app and reviewed by Nexus administration. We mediate using the evidence available in the Service (orders, messages, listings, reviews) and may take account actions (suspension, removal) against parties who breach these Terms or our policies. Our dispute role and limits — including that we do not move marketplace funds and cannot order a refund of a directly-settled payment — are described in the Refund Policy.
You may request account deletion from your account settings. Deletion may take effect immediately or after a holding period, and pending disputes, unpaid subscription obligations, or legal holds can delay it. Deleted account data is handled per the Privacy Policy.
We may suspend or terminate accounts for cause (violation, fraud, legal requirement). Suspension can remove seller access (including the ability to accept or list work) immediately, server-side.
Suspension can happen mid-transaction. An account may be suspended while orders are in progress — for example while we investigate a report. A suspended seller cannot take new work and may temporarily be unable to message; existing obligations under section 5 survive suspension: work already agreed must still be completed or properly refunded between the parties, and both sides remain bound by the direct buyer↔seller contract. We preserve the in-app record of in-progress orders so nothing is lost to the dispute process. Where the law and the investigation allow, we tell the other parties to an affected order that a suspension has occurred.
Subscription refunds after a termination for cause are at our discretion and described in the Refund Policy.
The Service, its design, code, and content remain Nexus's property. You retain rights to content you post (listings, profiles, messages) and grant us a limited license to display and process that content as necessary to operate the Service. You may not use Nexus's name, logo, or marks without permission. Only post content you have the right to use — repeat or serious infringement leads to account action under the Copyright & IP Policy, which also explains how rights holders can report infringing content.
To the extent permitted by applicable law, you agree to indemnify and hold Nexus Freelancing LLC(and its managers, members, and staff) harmless from claims, losses, liabilities, and expenses (including reasonable legal fees) arising out of: your content; your infringement or alleged infringement of anyone's intellectual-property or other rights; goods or services you sell or buy; your violation of these Terms or of law; taxes owed on your own marketplace activity; and third-party claims connected to what you did or failed to do on the platform.
This indemnity does not apply to the extent a claim is caused by Nexus's own breach, fraud, or willful misconduct, and nothing in it reduces any consumer right you have that cannot be limited by contract.
The Service is provided “as is.” To the maximum extent permitted by law, Nexus is not liable for indirect, incidental, or consequential damages; for marketplace transactions between buyers and sellers (including loss of funds paid directly to a seller); or for acts of third parties. Our aggregate liability relating to the Service is limited to the subscription fees you paid in the 12 months before the claim.
Nothing in these Terms limits liability that cannot be limited under applicable law, or excludes our obligations to you as a consumer where such exclusions are not permitted.
So you can evaluate search results fairly (and as EU law requires of online marketplaces), the main parameters that determine how listings are ranked on Nexus are, in order of importance:
We do not sell ranking in any other way, and we do not personalize search ranking based on profiling.
Notice and action. Anyone can report a listing, profile, or message using the in-app Report control. Reports are triaged by a moderator against the in-app record; submitting many abusive or manifestly unfounded reports can itself be restricted.
Statement of reasons. When we remove content, restrict, suspend, or terminate an account, we tell you what we decided, the facts and rules we relied on, and the options you have — except where the law or a fraud investigation prevents disclosure.
Appeals. You can appeal any moderation or suspension decision from the account notice (for example, on the suspension page) for at least 6 months after the decision. Appeals are reviewed by a person who was not the original decision-maker, and the outcome is recorded on your account.
Business users (sellers). For sellers, we give at least 30 days’ advance written notice before terminating marketplace access, with reasons — except where we act immediately because the law requires it, because the breach is serious or repeated, or because a suspension (not termination) is in place while an investigation runs.
These Terms, and any non-contractual obligations arising from them, are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-laws rules. Courts located in Wyoming, United States, have jurisdiction over disputes between you and Nexus, except as described below for consumers. We do not impose arbitration, and nothing in these Terms prevents either party from bringing an individual claim in small-claims court where that court has jurisdiction.
If you are a consumer habitually resident in the EU/EEA, the UK, Jamaica, or another jurisdiction with mandatory consumer protections: nothing in these Terms takes away the protections of the law of your country of residence, and you may bring proceedings in the courts of that country. Where a provision here conflicts with a non-excludable consumer right, the consumer right prevails.
Out-of-court resolution.EU consumers can also use a certified alternative dispute resolution (ADR) entity for their country — your national consumer authority can point you to one. Nexus does not currently subscribe to an ADR scheme and is not obliged to participate in one, but nothing in these Terms restricts your access to it. (The EU's ODR platform was discontinued in July 2025 and is deliberately not linked.)
We may update these Terms from time to time. Material changes will be announced in-app and/or by email. Continued use after the effective date constitutes acceptance. The “Last updated” date above reflects the current version.
